Terms of Service

以下为英文原文,以英文版为准。

These Terms of Service ("Terms") govern your access to and use of Keppia, a booking management platform operated by Keppia Technologies Inc. ("Keppia," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By registering for an account, accessing, or using Keppia (the "Service"), you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

We may update these Terms from time to time. Material changes will be communicated to you by email at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

Keppia is a software-as-a-service ("SaaS") platform that helps independent service businesses — including but not limited to nail studios, salons, wellness practitioners, and home-based service providers — manage appointments, customer records, notifications, and related operations.

The Service may include online booking pages, automated email reminders, calendar integration, customer relationship features, reporting, and tools for taking payments from your customers (processed by Stripe). Specific features available to you depend on your plan (Core or Max).

3. Account Registration & Eligibility

  • Keppia is offered to businesses located in Canada and the United States. Features that rely on payment processing — including deposits, card guarantees, Tap to Pay on iPhone and QR code payments — require a business and bank account in one of those two countries. If you sign up from elsewhere, those features are not available to you.
  • You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to register for an account.
  • You agree to provide accurate, current, and complete information during registration and to keep this information up to date. Providing false information may result in immediate suspension or termination.
  • You are responsible for safeguarding your account credentials. You must notify us immediately of any unauthorized access or security incident by opening a support ticket from the in-app Help desk.
  • You may only register one merchant account per business entity unless expressly authorized by us in writing.

4. Acceptable Use Policy

You agree not to:

  • Send unsolicited, deceptive, or fraudulent messages to your customers or any third party through the Service.
  • Use the Service to harass, threaten, or impersonate any person or business.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or related systems; scrape, harvest, or copy data not belonging to you; or interfere with normal operation of the Service.
  • Reverse-engineer, decompile, or attempt to derive the source code of any part of the Service.
  • Use the Service in any manner that violates applicable laws or regulations, including anti-spam laws (CASL in Canada, CAN-SPAM in the U.S.) and data protection laws (PIPEDA, GDPR).

We may suspend or terminate accounts that violate this policy, with or without prior notice depending on severity.

5. Subscription, Billing & Refunds

Keppia offers a free plan (Core) and a paid subscription plan (Max). Max is priced in Canadian dollars for all merchants and billed monthly, plus any applicable sales tax. At checkout, Stripe may offer to charge you in your local currency at the exchange rate it shows, which includes a currency conversion fee set by Stripe; later monthly charges are converted at the rate in effect when each charge is made. If you choose to pay in Canadian dollars with a card in another currency, your card issuer converts the charge at its own rate. Paid subscriptions are processed by Stripe, Inc. and are subject to Stripe's terms.

  • Free trial. Each account can try Max free for thirty (30) days, once. A card is required to start the trial, and unless you cancel before the trial ends, your subscription begins and the card is charged automatically.
  • Base subscription fees are charged in advance at the start of each billing period.
  • Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel at any time from your billing page or through the Stripe Customer Portal; cancellation takes effect at the end of the period you've paid for.
  • If a renewal payment fails, your plan stays active while Stripe automatically retries the payment over about two (2) weeks. If the payment still can't be collected, your subscription is canceled and your account moves to the Core plan; your data is kept, but Max features stop working.
  • No refunds are issued for subscription fees, including partial billing periods, except where required by applicable law.
  • The Core plan is provided "as is" with no commitments and may be changed or discontinued at any time.

6. Payments You Accept from Customers

Keppia lets you take payments from your customers: card payments (including Tap to Pay on iPhone and QR payment links), deposits when they book, and charges to a saved card under your no-show and late-cancellation policy. These payments are processed by Stripe, Inc. and paid into your own Stripe account. Keppia never holds your funds.

  • To accept payments, you must complete Stripe's account setup, including identity verification, and agree to Stripe's terms. Tap to Pay on iPhone also requires accepting Apple's terms on your device.
  • Stripe's processing fees apply to every payment and are paid by you.
  • Platform fee. On the Core plan, Keppia charges a platform fee of one and a half percent (1.5%) of each card payment, deposit, and charge to a saved card for a no-show or late cancellation, calculated on the full amount including tax and tip; on the Max plan the platform fee is zero. For merchants in Canada, applicable sales tax (GST, HST or PST) is added to the platform fee. A monthly platform-fee invoice is available to download from your account.
  • Refunds. When you refund a payment, Stripe's processing fee and Keppia's platform fee are not returned — except when a booking request is declined or expires, or a paid booking fails to go through, in which case your customer is refunded in full, including the platform fee. Deposits can only be refunded in full, and no-show or late-cancellation charges can't be refunded in the app; contact us if one was charged in error.
  • Your policies. You are responsible for the cancellation, deposit and no-show policies you set, for making them clear to your customers, and for any charge you make to a customer's saved card. Customers agree to your policies when they book, and we keep a record of when they did.
  • Disputes. If a customer disputes a payment with their bank, you can respond from the Payments screen in Keppia, which is provided by Stripe. Disputed amounts and dispute fees are handled under Stripe's terms.
  • Tax reporting and your records. If you're based in Canada, we're required by law to report information about you and the payments you receive through Keppia to the Canada Revenue Agency each year (see Section 5 of our Privacy Policy). You agree to provide accurate identity and tax information, including your SIN or business number, when Stripe asks for it, and to keep it up to date. If you don't provide it by the deadline Stripe gives you, card payments and payouts may be paused until you do. Payments you record yourself in Keppia, such as cash, are based on what you enter; you're responsible for their accuracy and for reporting your own income.

7. Your Customer Data & Roles

When you use Keppia to manage your business, you may collect personal information from your own customers (names, phone numbers, email addresses, appointment history, notes). Under data protection laws (including PIPEDA and GDPR):

  • You are the data controller for your customer data. You determine what information is collected, how it is used, and who has access.
  • Keppia acts as a data processor, processing your customer data only on your instructions and as necessary to provide the Service.
  • You are responsible for obtaining any required consents from your customers and for providing them with appropriate privacy notices.

Our handling of personal data is described in detail in our Privacy Policy.

8. Intellectual Property

All rights, title, and interest in the Keppia platform — including software, design, trademarks, logos, documentation, and the Keppia name — are owned by Keppia Technologies Inc. or its licensors. These Terms do not grant you any ownership rights to the Service.

Content you upload (business name, logo, service descriptions, customer data, images) remains your property. You grant Keppia a non-exclusive, worldwide, royalty-free license to host, store, display, and process this content solely to provide and improve the Service.

9. Service Availability & Modifications

We strive to keep Keppia available and performant, but we do not guarantee uninterrupted access. The Service is provided without a specific service level agreement (SLA) during this stage of operation. Scheduled maintenance, third-party outages (Stripe, Resend, Cloudflare, Railway), or unforeseen incidents may cause temporary unavailability.

We may modify, add, or remove features from the Service at any time. Material reductions in functionality that affect paid plans will be communicated with at least thirty (30) days' notice.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

To the maximum extent permitted by law, Keppia's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the amount you paid us in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall we be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Termination

  • You may cancel your subscription at any time from your billing page or through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; you retain access until then, and your account then continues on the Core plan.
  • You may delete your account at any time in our iOS app. Your account is first paused for thirty (30) days — signing in during that time restores it — and is then permanently deleted. See our Privacy Policy for the limited records that we or Stripe must keep afterwards.
  • We may suspend or terminate your account immediately, without notice, if you materially breach these Terms, engage in fraudulent activity, or pose a risk to other users or to our infrastructure.
  • If we terminate your account, your access to the Service ends. We keep your business data for thirty (30) days so you can ask us for an export, then permanently delete it, except for records we are legally required to keep (such as platform-fee invoices, kept for six years under Canadian tax law).

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict-of-law principles. Disputes arising under these Terms will be resolved through good-faith negotiation in the first instance. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, or to binding arbitration in Vancouver under the rules of the ADR Institute of Canada, at our election.

13. Changes to These Terms

We may revise these Terms periodically. Material changes will be communicated by email to the address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your subscription as described in Section 11.

14. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Keppia regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
